1. Overview

These Terms of Service ("Terms") govern the relationship between you ("Client") and Creative Division ("Studio", "we", "us"), operated by Jiayden Mills (ABN pending), for all creative services purchased through creativedivision.io.

By placing an order through our checkout system, you agree to these Terms in full.

2. Services

Creative Division provides productized creative services including but not limited to: graphic design, web development, brand identity, content production, social media management, coaching, and festival campaign work.

Each service has a defined scope, turnaround, and price as listed on the menu page at the time of purchase. The scope of work is limited to what is described in the service listing and any add-ons selected at checkout.

3. Payment

3.1 Payment Structure

Payment is required before work commences. Depending on the service, payment may be structured as:

  • 50/50 split: 50% deposit due at checkout, 50% due on delivery
  • Two-part split: 50% deposit due at checkout, 50% auto-charged before delivery
  • Three-part split: 40% deposit, 30% at midpoint, 30% on delivery
  • Subscription: Full monthly amount due upfront, auto-renews monthly

3.2 Currency

All prices are in Australian Dollars (AUD). Creative Division is not currently registered for GST.

3.3 Late Payment

If a remaining balance is not paid within 14 days of the invoice date, we reserve the right to pause work until payment is received.

4. Revisions

Each service includes a specified number of revision rounds as listed in the service description. Additional revisions beyond the included rounds may be quoted separately.

A "revision" is defined as a set of changes communicated in a single brief. Multiple rounds of feedback submitted separately count as separate revisions.

5. Turnaround

Turnaround times are estimates and begin from the date we receive both payment and a complete brief. Turnaround does not include time spent waiting for client feedback or approvals.

Rush delivery add-ons, where available, expedite the turnaround as described in the service listing.

6. Client Responsibilities

The Client agrees to:

Delays caused by incomplete briefs or slow feedback may extend the turnaround.

  • Provide a complete and accurate brief at checkout
  • Respond to requests for clarification within 5 business days
  • Provide all necessary assets (logos, images, copy) in a timely manner
  • Review and approve deliverables within 7 business days of delivery

7. Intellectual Property

7.1 Ownership

Upon full payment, all final deliverables become the property of the Client, with full usage rights for the purposes described in the service listing.

7.2 Portfolio Rights

Creative Division retains the right to display completed work in our portfolio, social media, and marketing materials unless explicitly agreed otherwise in writing.

7.3 Third-Party Assets

Any licensed fonts, stock images, or third-party assets used in deliverables remain subject to their respective license terms. We will inform you of any third-party license requirements.

8. Cancellation & Refunds

8.1 Before Work Commences

If you cancel before we have commenced work, you are entitled to a full refund of any deposit paid.

8.2 After Work Commences

If you cancel after work has commenced:

  • Any deposit paid is non-refundable
  • You will be invoiced for work completed to date at a pro-rata rate
  • All work completed to that point will be delivered to you

8.3 Studio Cancellation

If we are unable to complete the work for any reason, we will refund any payments for undelivered work in full.

9. Subscriptions & Retainers

9.1 Minimum Commitment

Retainer and subscription services have a minimum commitment period as stated in the service listing (typically 3 months).

9.2 Cancellation

After the minimum commitment period, either party may cancel with 30 days written notice. The final month's deliverables will be completed as normal.

9.3 Unused Deliverables

Unused deliverables within a retainer month do not roll over to the following month.

10. Limitation of Liability

Creative Division's total liability for any claim arising from services provided is limited to the total amount paid by the Client for the specific service in question.

We are not liable for any indirect, incidental, or consequential damages including lost profits, business interruption, or data loss.

11. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This includes but is not limited to: business strategies, unreleased creative work, financial information, and client lists.

12. Dispute Resolution

Any disputes arising from these Terms will be resolved through good-faith negotiation. If negotiation fails, disputes will be submitted to mediation in Melbourne, Australia, before any legal proceedings are initiated.

13. Changes to Terms

We may update these Terms from time to time. The version in effect at the time of your purchase governs that transaction. We will notify active retainer clients of any material changes.
